Dapper Development focuses on building new residential properties and renovating existing ones for resale. It also collaborates with its affiliate, Tantalum Holdings, to manage rental properties. The dispute began due to severe breakdowns in business relationships between the co-owners and managing members, including Andrew Cordell, Mason Harris, Brendan Gelson, and Kyle Tudor. Tensions escalated over management decisions, leading to accusations of improper termination, violations of internal governance procedures, and the improper use of legal tactics.

Key allegations in the lawsuit include:

  1. Breach of Contract: Andrew Cordell is accused of violating the company’s Restated Operating Agreement by taking actions that harmed the business and its assets.

  2. Declaratory Judgment: The lawsuit seeks a formal determination of the rights, duties, and liabilities of each member under the company's operating agreements.

  3. Implied Duty of Good Faith and Fair Dealing: Cordell allegedly failed to act in the best interests of the company, breaching his fiduciary duties to fellow members.

  4. Abuse of Process: Cordell is accused of using litigation tactics to pressure and harm the other members, damaging their reputations and financial standing.

In February 2023, a motion to dismiss the case was denied by Judge Victor Marrero, ensuring the lawsuit continued. In June 2024, Dapper Labs agreed to a $4 million settlement, although the company did not admit wrongdoing. The lawsuit highlights the complexities of disputes in closely held businesses, offering crucial insights into governance, contracts, and the importance of dispute resolution strategies.
